Virtual-Consignment Agreement
Williams Magic & Novelties, hereinafter referred to as Williams Magic, and ______________________________ hereinafter referred to as OWNER, agree to the following terms and conditions. This agreement is for "virtual consignment" meaning Williams Magic shall display, and attempt to sell, OWNER’s item(s) on www.williamsmagic.com. Williams Magic shall handle all aspects of the sale except the packaging and shipping of said item(s). As this is a "virtual" consignment, OWNER agrees to retain possession of the item(s), and protect the item(s) from damage, until the time of sale by Williams Magic. Williams Magic shall attempt to sell the item(s) consigned to it by OWNER at a price not below the "asking price" established by OWNER for each item, all sales being for cash or cash equivalents and Williams Magic shall hold the buyer’s payment in escrow until the completion of the sales transaction. A one-time setup fee of five dollars ($5.00) for each item listed (to cover photo and data entry work) is due and payable to Williams Magic when the item is initially accepted on "virtual consignment." This non-refundable five dollar ($5.00) fee entitles OWNER to have one item listed on www.williamsmagic.com for a period of six (6) months. OWNER may renew this listing for another year for an additional payment of five dollars ($5.00) per item, per year, or until the item sells, whichever occurs first. OWNER shall determine the "asking price" for each item placed on "virtual consignment" but Williams Magic reserves the right to set an actual selling price higher than OWNER’s "asking price" as Williams Magic deems appropriate. Upon receipt of a bona fide offer to purchase any of the items defined in this agreement, Williams Magic shall notify OWNER and provide shipping information to OWNER. OWNER agrees to immediately arrange and complete shipment of the item(s) sold and provide Williams Magic with confirmation of shipment to the buyer. Williams Magic may suggest to OWNER a recommended carrier for shipment but all packaging, shipping, handling and insurance shall be the sole responsibility of OWNER. Shipment shall include some form of delivery confirmation. OWNER shall be entitled to payment of the asking price (less appropriate consignment fees as described in this agreement) of each item upon confirmation of receipt of payment from buyer and confirmation of receipt of the item(s), and acceptance, by buyer. Williams Magic reserves the right to terminate any pending sale, and refund monies paid by buyer, in the event the items are determined to be unauthorized (bootleg) copies or knockoffs and/or they are not maintained in the same condition identified at the time of initial placement on this "virtual consignment." Williams Magic offers no warranties, expressed or implied, on any item sold and is not responsible for any damages that may arise from the use, or improper use, of any item sold. Owner agrees to hold harmless Williams Magic in this regard. At the time of sale Williams Magic may collect appropriate state and local taxes for payment to the proper state and local authorities. As compensation for completed sales, Williams Magic of the "asking price" of each item sold. shall receive a commission of 10% of the "asking price" of each item sold. In the event Williams Magic establishes a "selling price" higher than the "asking price" determined by OWNER, the difference between the "selling price" and the "asking price" shall be equally divided between Williams Magic and OWNER. This division of funds shall be in addition to the above 10% commission payable to Williams Magic. This agreement shall not be construed to provide a dealership or franchise in Williams Magic. Williams Magic may cancel this agreement at anytime by removing OWNER’s items from OWNER may terminate this agreement at any time by giving Williams Magic at least 24 hours advance notice to allow removal of the items from www.williamsmagic.com and notifying OWNER of the cancellation of this agreement.
